1. Acceptance of Terms

Welcome to MeetsIdea. These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and MeetsIdea ("Company," "we," "us," or "our") governing your access to and use of the MeetsIdea platform, website, and services (collectively, the "Service").

By creating an account, accessing, or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, including our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

2. Eligibility

To use MeetsIdea, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction
• Have the legal capacity to enter into a binding contract

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information to keep it accurate and current

By using the Service, you represent and warrant that you meet all of these eligibility requirements. We reserve the right to refuse service, terminate accounts, or cancel subscriptions at our sole discretion.

3. Account Registration and Security

3.1 Account Creation

To access certain features of the Service, you must create an account. You agree to:

• Maintain the security of your password and account
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activities that occur under your account

3.3 Account Types

You may register as an:

• Idea Creator: Individual or entity seeking business partners or investors for innovative concepts
• Business Partner: Professional seeking collaboration opportunities
• Investor: Individual or entity seeking investment opportunities

You may hold multiple account types but must maintain separate profiles for each role.

4. Membership Tiers and Subscriptions

4.1 Membership Plans

MeetsIdea offers three membership tiers:

For paid subscriptions:

• Fees are billed in advance on a monthly recurring basis
• You authorize us to charge your payment method automatically each billing cycle
• All fees are non-refundable except as required by law or as expressly stated in these Terms
• You are responsible for all applicable taxes
• Prices are subject to change with 30 days' notice

4.3 Free Trial

The Free Trial membership is available indefinitely but with limited features. We reserve the right to modify or discontinue the Free Trial at any time without notice.

4.4 Subscription Changes and Cancellation

You may upgrade, downgrade, or cancel your subscription at any time through your account settings:

• Upgrades: Take effect immediately; you will be charged the prorated difference
• Downgrades: Take effect at the end of your current billing cycle
• Cancellations: You retain access until the end of your current billing period; no refunds for partial months

5. User Conduct and Prohibited Activities

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any local, state, national, or international law or regulation
• Infringe upon or misappropriate the intellectual property rights of others
• Harass, abuse, threaten, defame, or intimidate any person
• Post or transmit any fraudulent, false, misleading, or deceptive content
• Impersonate any person or entity or falsely state or misrepresent your affiliation
• Engage in any form of spam, unsolicited advertising, or promotional activities
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use automated systems (bots, scrapers) to access the Service without our written permission

5.2 Prohibited Business Practices

When using MeetsIdea for business connections, you must not:

• Engage in pyramid schemes, multi-level marketing, or illegal investment schemes
• Solicit investments in fraudulent or non-existent business opportunities
• Misrepresent your credentials, experience, or business capabilities
• Use the platform to recruit for illegal activities
• Breach confidentiality agreements or non-disclosure agreements
• Steal or misappropriate other users' ideas, intellectual property, or business concepts

5.3 Content Standards

All content you post, upload, or share must:

• Be truthful, accurate, and not misleading
• Not contain material that is defamatory, obscene, or offensive
• Not promote violence, discrimination, or illegal activities
• Respect the intellectual property rights of others
• Not contain viruses, malware, or other harmful code

6. Intellectual Property Rights

6.1 MeetsIdea's Intellectual Property

The Service and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof) are owned by MeetsIdea, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service without our prior written consent.

6.2 Your Content

You retain all rights to the content you post, upload, or share on the Service ("User Content"). By posting User Content, you grant MeetsIdea a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with operating and providing the Service.

You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate any third-party rights
• You have obtained all necessary permissions and consents

6.3 Idea Protection

While MeetsIdea provides features to help protect your ideas (such as NDA functionality available on request), we cannot guarantee that your ideas will not be independently developed by others or that other users will not breach confidentiality. You are solely responsible for:

• Determining what information to share and with whom
• Entering into appropriate legal agreements (NDAs, contracts) with other users
• Protecting your intellectual property through patents, trademarks, or copyrights
• Taking legal action against users who misappropriate your ideas

7. Non-Disclosure and Confidentiality

MeetsIdea offers optional NDA functionality for users who wish to protect their confidential information. However:

• You must explicitly request and execute an NDA through our platform
• NDAs are agreements between you and other users, not with MeetsIdea
• MeetsIdea is not a party to these agreements and bears no liability for breaches
• You are responsible for enforcing any NDAs you enter into
• We recommend consulting legal counsel before sharing confidential information

8. Third-Party Services and Links

The Service may contain links to third-party websites, services, or resources that are not owned or controlled by MeetsIdea. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that MeetsIdea shall not be responsible or liable for:

• Any damage or loss caused by or in connection with your use of third-party services
• The availability or accuracy of third-party services
• The content, products, or services available through third-party platforms

9. Disclaimers and Limitation of Liability

9.1 No Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• That the Service will be uninterrupted, error-free, or secure
• That defects will be corrected
• The accuracy, reliability, or quality of any content, information, or services obtained through the Service

9.2 No Guarantee of Success

MeetsIdea does not guarantee that you will:

• Find suitable business partners or investors
• Successfully close deals or secure funding
• Achieve any particular business outcomes
• Generate revenue or profit from connections made through the Service

9.3 User Responsibility

You acknowledge and agree that:

• MeetsIdea does not vet, verify, or endorse users, ideas, or investment opportunities
• You are solely responsible for evaluating other users and their proposals
• You should conduct your own due diligence before entering into any agreements
• MeetsIdea is not a party to any agreements between users
• You are responsible for all interactions and transactions with other users

9.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MEETSIDEA, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, or business opportunities
• Theft or misappropriation of ideas or intellectual property
• Breach of confidentiality by other users
• Failed business ventures or investment losses
• Damage to reputation or goodwill
• Cost of procurement of substitute services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO MEETSIDEA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless MeetsIdea, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your User Content
• Your violation of any third-party rights, including intellectual property rights
• Your interactions or agreements with other users
• Any fraudulent or illegal activities

11. Dispute Resolution and Arbitration

11.1 Governing Law

11.3 Class Action Waiver

YOU AND MEETSIDEA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

11.4 Informal Resolution

Before initiating arbitration, you agree to first contact us at legal@meetsidea.com to attempt to resolve the dispute informally for at least 30 days.

12. Termination

12.1 Termination by You

You may terminate your account at any time by:

• Accessing your account settings and selecting "Delete Account"
• Contacting our support team at support@meetsidea.com

Upon termination, your right to use the Service will immediately cease. You will not receive refunds for any unused subscription period.

12.2 Termination by MeetsIdea

We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, without notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Fraudulent, illegal, or harmful activities
• Non-payment of fees
• Extended periods of inactivity
• Request by law enforcement or government agencies

12.3 Effect of Termination

Upon termination:

• All licenses and rights granted to you will immediately cease
• You must immediately cease all use of the Service
• We may delete your User Content from our servers
• Provisions that by their nature should survive termination shall survive, including ownership, warranty disclaimers, indemnity, and limitations of liability

13. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Posting the updated Terms on the Service
• Sending an email to your registered email address
• Displaying a prominent notice on the Service

Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

14. General Provisions

MeetsIdea shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, war, terrorism, labor disputes, or internet service failures.

• MeetsIdea is not a registered investment advisor, broker-dealer, or financial institution
• Investment opportunities presented on the Service may not be registered with securities regulators

16. International Users
